Position Details

What You Will Do

  • Assist in drafting meeting agendas.
  • Assist in the preparation of meeting material for posting on Board portal (Diligent).
  • Draft shell meeting motions for Committee/Board Chair.
  • Transcribe minutes of Board or committee meetings as assigned for review by Management and Board/Committee Chair.
  • Maintain corporate records electronically – prepare and file meeting minutes once approved and signed.  Maintain a digital record of the meeting minutes and provide them to Auditors when requested.
  • Assist with updating and providing new Directors with orientation manual.
  • Assist with coordinating payroll documents, honourary lifetime memberships and retirement gifts for retiring Directors.
  • Maintain key policy documents and records.
  • Maintain Diligent and utilize it to distribute meeting materials, reports, calendars and resource material.
  • Provides administrative support for the Corporate Secretary, including managing schedules, coordinating meetings, handling correspondence, preparing reports, conducting research, and other tasks as required.
  • Acts as back-up support to the Assistant Corporate Secretary as required.
  • Coordinate all Board remuneration including preparing payment charts for review/approval of Board Chair
  • Annually prepares a summary of the Board remuneration for budget purposes
  • Other duties as assigned 

Who You Are

  • University or College education or equivalent related to Office Administration or Governance.
  • Minimum 2 years of relevant work experience
  • A minimum of 5 years of administrative and/or project support experience in a corporate business environment or legal department.
  • A high level of professionalism and the ability to work in an environment where confidentiality, accuracy, quality and time sensitivity are essential.
  • Experience with Board operations, Board management software/portals, conference/meeting technologies are an asset.
  • Prior experience working with Senior Executives or Board of Directors
  • Advanced MS Office software skills: must be capable in Outlook, PowerPoint, Word, Excel, and Teams.
  • Minute taking experience.
